By using the Livio app (the “Platform”), you agree to be bound by these Terms of Service (the “Agreement”).
IMPORTANT – PLEASE READ CAREFULLY.
Livio Technologies Inc., a Federal Canadian corporation, (“Livio,” “we,” “us,” or “our”) operates the mobile application available on iOS and Android (the “Platform”). The Platform provides services designed to facilitate property management for landlords, property managers, and tenants, including rent and utility bill management, communication, and tenant onboarding (the “Service”).
By clicking “SIGN UP” or “AGREE,” each User agrees to be bound by this Agreement. If a User is entering into this Agreement on behalf of a business entity, User represents that they have the legal authority to bind that entity. Users must be at least 18 years old and able to enter legally binding agreements to use the Platform. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO USE THE PLATFORM.
Definitions
Company Parties: Livio, its affiliates, and their respective employees, contractors, and agents.
Host: Landlords or property managers using the Platform.
Tenant: Tenants or prospective tenants of properties listed on the Platform.
User: Any individual or entity using the Platform, including Hosts and Tenants.
1. Platform as a Venue
(a) Platform Purpose: The Platform provides a venue where: Hosts can manage rental properties, onboard Tenants, set and collect rent, manage utility bills, and track property history.Tenants can join a property, manage rent payments, connect bank accounts, and view payment history and obligations.
(b) Limited Role in Transactions: Livio is not a party to any rental agreement or lease transaction between Hosts and Tenants. We provide digital tools for these transactions but do not own, manage, or guarantee any properties listed on the Platform.
(c) Third-Party Services: Payments are facilitated by a third-party payment processor, whose terms and policies govern all transactions. Livio does not store payment or banking information. Users must review the third-party provider’s terms and privacy policy.
2. Use of the Platform
(a) User Account: Each User must register to create a unique User Account. By registering, Users agree to provide accurate, up-to-date information and to keep it current. Only the registered User may use their account.
(b) Login Credentials: Users are responsible for maintaining the confidentiality of their login information. Livio disclaims liability for unauthorized use due to compromised credentials.
(c) KYC Compliance: All Users must complete a Know Your Customer (KYC) process for identity verification in compliance with applicable laws.
(d) Access Restrictions: Unauthorized uses of the Platform include data scraping, reverse engineering, and other restricted activities. Users must not attempt to interfere with Platform functionality.
3. User Content and Responsibility
(a) User Content Definition: “User Content” includes property listings, rental terms, personal information, and other data uploaded to the Platform.
(b) User Content Ownership: Users retain rights to their User Content but grant Livio a non-exclusive, worldwide license to use it for Platform operations.
(c) Host Responsibilities: Hosts represent and warrant that they have the legal right to list properties and that the descriptions and terms are accurate and lawful.
4. Payments and Transactions
(a) Third-Party Payments: All payments for rent, utilities, and security deposits are facilitated by a third-party payment provider, with fees and transactions subject to their terms. Livio is not liable for payment disputes or processing issues.
(b) Livio’s Fees: Livio may charge transaction fees disclosed at the time of payment. These fees may vary based on the transaction type.
(c) Tenant Payment Compliance: Tenants are responsible for meeting rent and security deposit requirements as set by their Host and outlined in the invite terms.
5. Privacy and Data Protection
Livio values User privacy and complies with applicable privacy laws. Livio collects and uses data in accordance with our Privacy Policy, available on the Platform.
6. Service Changes
Livio reserves the right to modify Platform features, impose usage limits, or suspend access at its discretion. Users agree to abide by any revised terms, which will be communicated through the Platform.
7. Termination and Suspension
(a) User Account Termination: Livio reserves the right to terminate or suspend User Accounts for violations of this Agreement or misuse of the Platform. Users may discontinue their accounts at any time.
(b) Termination by Livio: In the event of termination, Users will retain access to data for a period to retrieve necessary information. Livio reserves the right to delete data after termination.
8. Indemnity and Liability Limitations
(a) Indemnity: Users agree to indemnify and hold harmless Livio from claims or damages arising from their use of the Platform.
(b) Limitation of Liability: To the extent permitted by law, Livio is not liable for any indirect, incidental, or consequential damages arising from Platform use, nor is it liable for payment disputes between Hosts and Tenants.
9. Governing Law
This Agreement is governed by Canadian laws applicable in the province of Ontario. Users consent to the exclusive jurisdiction of Ontario courts for any dispute arising under this Agreement.
10. Changes to Agreement
Livio may amend these terms. The latest version will be accessible on the Platform, and continued use of the Platform indicates acceptance of any changes.
